These Terms of Service ("Terms") govern your access to and use of the vortexquant.com website (the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to them, please do not use the Services.

These Terms cover this website only. They do not grant access to any Vortex Quantitative product and they do not govern the use of our products or services. If you become a customer, that relationship is governed by the separate written agreement we sign with you, and that agreement prevails over these Terms to the extent of any conflict.

This website is informational. It has no user accounts and it accepts no payments. Nothing on it is an offer or solicitation to buy or sell any security, an investment recommendation, or financial, legal, tax or accounting advice.

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using the Services, you represent and warrant that you meet these eligibility requirements.

2.2 Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit malicious code or viruses
• Engage in unauthorized data mining or scraping
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services

The Services and all content, features, and functionality (including but not limited to information, software, text, displays, images, graphics, and design) are owned by Vortex Quantitative, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

3.3 Restrictions

• Reverse engineer, disassemble, or decompile any part of the Services
• Remove any proprietary notices or labels
• Use the Services to develop competing products or services
• Resell, sublicense, or distribute the Services

Those documents tell you about our processing. They are not conditions of these Terms, and using the Services is not consent to processing — where we need your consent for something, we ask for it separately and specifically.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VORTEX QUANTITATIVE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will meet your requirements
• The Services will be uninterrupted, secure, or error-free
• The results obtained from the Services will be accurate or reliable
• Any defects in the Services will be corrected

Nothing in these Terms excludes or limits any warranty, right or liability that cannot lawfully be excluded or limited, including under consumer protection law where it applies to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VORTEX QUANTITATIVE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO VORTEX QUANTITATIVE FOR ACCESS TO THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED US DOLLARS (US$100).

Nothing in this section excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for any other liability that cannot lawfully be excluded or limited.

You agree to defend, indemnify, and hold harmless Vortex Quantitative and its affiliates, directors, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorneys' fees) arising from:

• Your use of and access to the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the Services

We may restrict or withdraw your access to the Services at any time, without prior notice or liability, including if you breach these Terms. The Services require no account, so in practice this means blocking access rather than closing anything.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in New York, New York.

10.1 Entire Agreement and Precedence

These Terms are the entire agreement between you and Vortex Quantitative concerning your use of this website, and supersede any prior understanding on that subject.

They do not supersede, vary or replace any separate written agreement between you and Vortex Quantitative — including any master services agreement, order form, subscription agreement, evaluation agreement or non-disclosure agreement. Where any such agreement conflicts with these Terms, that agreement prevails.

10.2 Waiver and Severability

No waiver by Vortex Quantitative of any term or condition shall be deemed a further or continuing waiver. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Effective Date." Your continued use of the Services after any changes constitutes acceptance of the new Terms.
